| Circumstances by reason of which Securities Holder has interest | On 28 May 2026, Whitmore Holdings Sdn Bhd ("WHSB") completed the acquisition of 148,744,796 ordinary shares in MKH Berhad ("MKH") pursuant to the unconditional share sale agreement dated 20 May 2026 ("USSA") and the letter of agreement dated 28 May 2026 ("LA") with Chen Choy & Sons Realty Sdn Bhd ("CCSR"). As a result, WHSB directly owns a 25.79% equity interest in MKH. MKH Oil Palm (East Kalimantan) Berhad ("MKHOP") is a 65%-owned subsidiary of MKH. On the same date, WHSB also completed the acquisition of 39,153,474 ordinary shares in MKHOP pursuant to the following agreements: a) USSA and LA with CCSR for the acquisition of 33,760,776 shares in MKHOP; and b) USSA and LA with Tan Sri Dato' Chen Kooi Chiew @ Cheng Ngi Chong, Tan Sri Datuk Chen Lok Loi, Datuk Chen Fook Wah, Lotus Way Sdn Bhd, Liberty Alliance (M) Sdn Bhd and Activest Sdn Bhd for the acquisition of 5,392,698 shares in MKHOP. As a result, WHSB directly owns a 3.86% equity interest in MKHOP. |
