The Board of Directors ("Board") of JSB wishes to announce that the Company had on 25 May 2026, served a sealed copy of the Originating Summons dated 22 May 2026 ("Originating Summons") and a sealed copy of the Notice of Application dated 22 May 2026 ("Injunction Application") filed in the Kuala Lumpur Sessions Court on the Defendant.
The Company as a Plaintiff seeks, amongst others, the following orders in the Originating Summons:
- A declaration that the Tenancy Agreement dated 1 June 2022 ("Tenancy Agreement") entered between the Plaintiff and Defendant is valid and binding on the Defendant;
- A declaration that the Notice of Termination dated 26 February 2026 ("Notice of Termination") issued by the Defendant is invalid, null, void and has no effect;
- An order for the specific performance of the Tenancy Agreement whereby the Defendant is required to perform all its obligations under the Tenancy Agreement;
- That the cost of the application and all other consequential and incidental costs shall be paid by the Defendant to the Plaintiff; and
- Any further or other relief that the Court may think just and expedient.
The grounds of the application of the Originating Summons are, among others, as follows:-
- The Plaintiff had on 27 February 2026 received the Notice of Termination from the Defendant in which the Defendant stated that it gave 3 months' notice to the Company for termination of the Tenancy Agreement pursuant to Section 9.03 of the Tenancy Agreement and requested that the Company deliver vacant possession of Level 25-01, Menara Felda, No. 11, Persiaran KLCC, Platinum Park, 50088 Kuala Lumpur ("Premises") to Defendant on or before 25 May 2026;
- The Notice of Termination issued by the Defendant is invalid as Section 9.03 of the Tenancy Agreement only confers upon the Plaintiff the right to terminate the Tenancy Agreement by giving 3 months' written notice and there is no corresponding right upon the Defendant to do so;
- There is no basis for the Defendant to demand vacant possession of the Premises from the Plaintiff; and
- The issuance of the Notice of Termination by the Defendant constitutes a breach of the Tenancy Agreement by the Defendant.
In the Injunction Application, the Plaintiff seeks, among others, the following orders:
a) That pending final disposal of the Originating Summons or further order:
- That the Defendant, whether by itself or its officers, servants, agents or otherwise be restrained, and an injunction be granted to restrain the Defendant from in any manner entering the Premises and removing any assets from the Premises and locking and taking possession of the Premises;
- That the Defendant, whether by itself or its officers, servants, agents or otherwise be restrained, and an injunction be granted to restrain the Defendant from in any manner interfering and depriving the Plaintiff's right to continue occupying the Premises and enjoy all rights under the Tenancy Agreement; and
b) That an ad interim injunction in terms of prayers (a)(i) and (a)(ii) pending full and final disposal of the Injunction Application.
The Originating Summons and the Injunction Application are fixed for case management on 3 June 2026.
