(COLLECTIVELY REFERRED TO AS THE "PROPOSALS")

(For consistency purposes, the abbreviations used throughout this announcement shall have the same meanings as defined in the circular to shareholders dated 16 April 2026 in relation to the Proposals, where applicable, unless stated otherwise or defined herein.) 

 

Reference is made to the Company's announcements dated 18 November 2025 and 21 January 2026 in relation to the Proposals. 

 

On behalf of the Board, Berjaya Securities wishes to announce that following the approval of the Shareholders for the Proposals obtained at the EGM earlier today, the condition precedent set out in the SSPA has been fulfilled. Accordingly, the SSPA has become unconditional in accordance with its terms and conditions on 4 May 2026.
