The Board of Directors of Midtown wishes to announce that the Company is unable to release its Annual Report that includes the Audited Financial Statements together with the Auditors' and Directors' reports ("Financial Statements") in respect of the financial period ended 31 December 2025 ("Annual Report 2025") by 30 April 2026 ("Relevant Timeframe") as required under Rule 9.23(1) of the ACE LR of Bursa Securities, which is a period not exceeding four (4) months from the close of the financial period ended 31 December 2025 to Bursa Securities and the shareholders.

The delay in the announcement and issuance of the Annual Report 2025 was mainly due to the additional time required to complete the audit process. The Company wishes to provide the External Auditors with sufficient time to finalise the Audited Financial Statements for the financial period ended 31 December 2025. The Company is working closely with the External Auditors to ensure the audit is completed as soon as practicable.

Pursuant to Rule 9.28(5) of the ACE LR of Bursa Securities, if Midtown fails to announce/issue the Annual Report 2025, together with its Financial Statements within five (5) market days after the expiry of the Relevant Timeframe, i.e. 8 May 2026 (the last day of these five (5) markets day period is referred to as "Suspension Deadline"), in addition to any enforcement action that the Bursa Securities may take, the Bursa Securities shall suspend trading in the securities of the Company.

The suspension shall take effect on the next market day after the Suspension Deadline (i.e. 11 May 2026) and will be uplifted on the market day following the announcement/issuance of the Annual Report 2025, together with its Financial Statements unless otherwise determined by the Bursa Securities.

Pursuant to Rule 9.28(6) of the ACE LR of Bursa Securities, if the Company fails to announce/issue the outstanding Annual Report 2025 together with its Financial Statements within six (6) months from the expiry of the Relevant Timeframe, in addition to any enforcement action that Bursa Securities may take, Bursa Securities shall commence de-listing procedures against the Company.
