1. Introduction
The Board of Directors of Uzma Berhad ("Uzma" or "the Company") is pleased to announce that UZMA SPACE AND DEFENCE SDN BHD ("Uzma Space and Defence"), a wholly owned subsidiary of the Company has on 21 April 2026 entered into a Memorandum of Understanding ("MoU") with Boustead Holdings Berhad ("BOUSTEAD") to explore and establish a strategic collaboration in the areas of Satellite Communications (SATCOM) and Geospatial Intelligence (GEOINT), particularly in support of defence, security, and related national applications.
(Uzma Space and Defence and BOUSTEAD, shall collectively be referred to as the "Parties")
2. Information on Boustead
BOUSTEAD is a company within the LTAT Group and is primarily engaged in the businesses of property and industrial, pharmaceutical, heavy industries, trading, and finance & investment, among others.
3. Salient Terms
a) The Parties will explore collaborative efforts in the following areas:
- Exploration of joint opportunities in satellite communications, Earth observation, and geospatial intelligence solutions for government, defence, and critical infrastructure sectors;
- Leveraging each Party's respective capabilities, networks, and market presence to collectively address the operational and technological needs of prospective clients;
- Co-development of integrated solutions and proposals incorporating satellite-based platforms, AI/ML analytics, and data-driven intelligence capabilities;
- Joint participation in tenders, procurements, and strategic engagements within Malaysia and the broader region;
- Exploration of complementary service offerings to enhance the value proposition presented to government and defence stakeholders;
- Development of training programmes and knowledge transfer initiatives in relevant areas of mutual interest; and
- Such other areas of collaboration as may be mutually agreed upon by the Parties from time to time.
b) The duration of the MoU shall be one (1) year, effective from 21 April 2026, with an option to extend upon mutual agreement.
4. Risk Factors
The risk factors involved in the MoU is expected to be minimal. In the event Uzma Space and Defence enters into a definitive agreement with BOUSTEAD, the Board and the management will exercise due care in considering the associated risks and benefits.
5. Financial Effects
The MoU is not expected to have any immediate material effect on the earnings per share, net assets per share, gearing, share capital, or shareholding structure of the Company for the financial year ending 30 June 2026.
6. Directors' and Major Shareholders' Interests
None of the Directors and/or major shareholders and/or persons connected with the Directors and/or major shareholders of Uzma has any direct or indirect interest in the MoU.
7. Directors' Statement
The Board of Directors of the Company, after considering all the relevant factors, is of the opinion that the entering of the MoU is in the best interest of the Company.
