Reference is made to our previous announcement on 9 September, 2021 in relation to the Shareholders' Agreement.

UOA DEV had on 9 September, 2021 via two subsidiary companies entered into a Shareholders' Agreement ("Shareholders' Agreement") with Care Concierge Care Centre Sdn. Bhd. ("CCCC"), to carry on and participate in the provision of independent home living, managed home care services, care giving services for people who require assistance in their daily lives and develop and manage care facilities at Komune Living and Wellness Centre, a commercial building located in Cheras owned by UOA Golden Pines Sdn. Bhd., a wholly owned subsidiary of UOA DEV.

The Board of Directors of UOA DEV ("Board") wishes to announce that the two subsidiary companies, namely Federaya Development Sdn. Bhd. ("Federaya"), and Regenta Development Sdn. Bhd. ("Regenta") have vide an Agreement dated 17 April, 2026 ("Termination Agreement") mutually agreed to terminate the Shareholders' Agreement with immediate effect ("Termination").
