Puncak Niaga Holdings Berhad wishes to announce that Tan Sri Rozali bin Ismail, the Executive Chairman of the Company to relinquish his role as Executive Chairman, retire and resign as Director of the Company, with three (3) months' notice effective from 1 April 2026.

Accordingly, YBhg Tan Sri Rozali will continue to serve in his present capacity during the notice period to facilitate a smooth transition, and his relinquishment as Executive Chairman as well as his resignation as Director of PNHB and its subsidiary companies will take effect on 30 June 2026.

The Board has deliberated on the above, taking into consideration, amongst others, his current health condition, personal commitments, and the need to ensure continuity of leadership as well as adherence to good corporate governance practices.

The Board wishes to record its sincere appreciation for YBhg Tan Sri Rozali's longstanding leadership, dedication, and invaluable contributions to the Company and the Group. His vision and stewardship have played an essential role in shaping the growth and success of PNHB.

The Board remains firmly committed to upholding robust corporate governance, maintaining leadership continuity, and ensuring the company's long-term sustainability, while ongoing operations continue uninterrupted throughout the transition period.

This announcement is made in accordance with the Main Market Listing Requirements of Bursa Malaysia Securities Berhad.
