INTRODUCTION
Cahya Mata Sarawak Berhad ("Cahya Mata") ("the Company") wishes to announce that Dato Sri Mahmud Abu Bekir Taib ("DSM"), Deputy Group Chairman/Director of Cahya Mata, had, filed an Originating Summons ("OS") dated 2 April 2026 against Cahya Mata and 10 Others at the High Court of Sabah & Sarawak.
The OS was served on the Company on 6 April 2026.
PARTICULARS OF THE ORIGINATING SUMMONS
By way of the OS, DSM is claiming the following:
(1) a declaration that DSM, in his capacity as a director of the 10th Defendant, is only placed in a conflict-of-interest position when the pending actions, namely, Originating Summons No. KCH-24NCvC-6- 3/2025 (HC3) and High Court Suit No. KCH-22NCC-2-3/2025 (HC2) are set down for deliberation at the meetings and not otherwise;
(2) a declaration that DSM has an unrestricted right in his capacity as a director to attend and participate in all the meetings of the Board of Directors of the 10th Defendant and can only be required to recuse himself only at the point when the Board is about to deliberate the pending actions, namely, Originating Summons No. KCH-24NCvC-6-3/2025 (HC3) and High Court Suit No. KCH-22NCC-2-3/2025 (HC2) which were set down in the agenda for deliberation;
(3) a declaration that, based on the agenda of the 328th Board of Directors' Meeting of the 10th Defendant held on 24.2.2026 contained in the Notice issued to DSM on 21.2.2026, the exclusion of the Plaintiff from the said meeting was unlawful, null and void;
(4) an injunction restraining the 1st to 9th Defendants, from taking any steps to exclude DSM from participating in meetings of the Board of Directors of the 10th Defendant, save where the pending action, namely, the Originating Summons No, KCH-24NCCvC-6- 3/2025 (HC3) and the High Court Suit No. KCH-22NCC-2-3/2025 (HC2) are set down as an item in the agenda for deliberation and only at the point of time when the Board has to deliberate the specific pending actions;
(5) an order that the Company Secretary or such other officer of the 10th Defendant having custody of the minutes of the Board of Directors' meetings of the 10th Defendant held between 9.4.2025 until 31.1.2026 shall forthwith deliver copies of the said minutes to DSM; and
(6) an order that the Company Secretary or such other officer of the 10th Defendant, having the duty to issue notices of Cahya Mata's Board Meetings, shall set down the pending actions, namely Originating Summons No. KCH-24NCvC-6-3/2025 (HC3) and High Court Suit No. KCH-22NCC-2-3/2025 (HC2) in the agenda issued together with the notices of the meetings when they are to be deliberated and shall inform DSM that he would have to recuse himself from the meetings at the point of time when the pending Actions are deliberated.
Cahya Mata's stance is that there exists conflicts of interest due to DSM's earlier Originating Summons No. KCH-24NCvC-6-3/2025 (HC3) against Cahya Mata, and the suit by Cahya Mata and its subsidiary, Cahya Mata Intelligent Technologies Sdn Bhd, vide KCH-22NCC-2-3/2025 (HC2) against DSM and 5 Others, all of which are pending final determination by the Court and were among the matters being deliberated at the said Meeting.
FINANCIAL AND OPERATIONAL IMPACT ON CAHYA MATA
Cahya Mata is in the midst of appointing its solicitors and the Company shall take all steps to vigorously defend the OS to protect the Company's interest.
The OS is not expected to have any material effect on the earnings per share and net asset per share of Cahya Mata for the financial year ending 31 December 2026. The OS is also not expected to have material operation impact on Cahya Mata.
