We refer to the Company's First Announcement dated 18 November 2021 in relation to the Company being classified as an affected listed issuer under Practice Note ("PN17") and the Company's announcements dated 4 September 2024, 10 September 2024, 23 January 2025, 25 July 2025 and 30 January 2026 in relation to the EOT Application.
Reference is also made to the announcements dated 9 May 2023, 25 April 2024, 5 July 2024 and 19 August 2024 in relation to the Proposed Regularisation Plan of the Company, of which has been approved by Bursa Securities.
Unless otherwise stated or redefined, all abbreviations and definitions used herein shall have the same meanings as those used in the Company's announcements in relation to the Regularisation Plan.
1. Implement the Regularisation Plan
Reference is made to the announcement dated 6 March 2026. The Company is pleased to announce that KSB has made full settlement and fulfilled its obligations under the Scheme of Arrangement, and accordingly, the Scheme of Arrangement has been completed.
2. Proposed New Shareholders' Resolution for Share Capital Reduction
On 6 March 2026, the Company announced that there was no application under Section 118(2) of the Act for the cancellation of the special resolution passed at the Extraordinary General Meeting held on 21 October 2024 for the Share Capital Reduction.
In addition, the Company has lodged Section 119(1) to the Registrar of Companies ("ROC") and subsequently received a notice dated 6 March 2026 issued by the ROC confirming the reduction of share capital. Accordingly, the Share Capital Reduction took effect on 6 March 2026, and consequently, the Company was no longer required to obtain the New Shareholders' Resolution. Following the completion of the Share Capital Reduction, the issued share capital of the Company is RM72,856,725.40 comprising 1,119,129,864 KSB Shares.
3. Implementation of Employees' Share Scheme ("ESS") and Completion of the Regularisation Plan
On 17 March 2026, the Company announced that the Regularisation Plan has been completed following the effective date of implementation of the ESS on 17 March 2026.
The Company will make the necessary announcement(s) regarding any development on the above matter.
