PRIVATE PLACEMENT OF UP TO 10% OF THE TOTAL NUMBER OF ISSUED SHARES OF SHC ("PRIVATE PLACEMENT")

We refer to the earlier announcements dated 5 December 2025, 12 December 2025, 19 December 2025, 9 January 2026, 12 March 2026 and 25 March 2026 in relation to the Private Placement.
