The Board of Directors of Handal ("Board") wishes to announce that the Company had on 25 March 2026 entered into a Joint Venture Agreement ("JVA") with Bumiraya Petroleum Sdn. Bhd. ("BUMI") to co-operate with each other through incorporation of a private limited company acting as special purpose vehicle ("SPV") for the purpose of utilizing the SPV to negotiate and enter into definitive agreement with third party for the purpose of the Projects (as defined herein).

(HANDAL and BUMI may hereinafter individually be referred to as the "Party" and collectively as the "Parties").
