The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the earlier announcements in relation to the Proposals.

We refer to the earlier announcements dated 9 March 2026 and 11 March 2026 in relation to the Proposals.

On behalf of the Board, UOBKH wishes to announce that Bursa Securities had, vide its letter dated 13 March 2026, resolved to approve the listing and quotation of up to 99,446,227 Placement Shares to be issued pursuant to the Private Placement, subject to the following conditions:-

i.          Straits and UOBKH must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Private Placement;

ii.          UOBKH is required to furnish Bursa Securities with details of the proposed placee(s) as per Rule 6.16 of the Listing Requirements for Bursa Securities' clearance, prior to the issuance/ allotment of the Placement Shares;

iii.         In the event the Private Placement is not completed before the next AGM, UOBKH is required to furnish Bursa Securities with a certified true copy of the resolution passed by the shareholders at the forthcoming AGM for the authority to issue shares pursuant to the Act before the listing of the Placement Shares;

iv.         Straits and UOBKH are required to inform Bursa Securities upon the completion of the Private Placement; and

v.         Straits is required to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities' approval once the Private Placement is completed.
