We refer to the Company’s announcement dated 4 March 2026 on the subject matter.
The Board of Directors of the Company wishes to announce the following additional information in relation to the purchase of property.
1. Source of fund of the purchase consideration
The purchase consideration is estimated to be funded by internal cash reserve and bank borrowings as follows:
If the bank borrowings approved are lower than our estimate, the deficit will be funded by our internal cash reserve.
2. Land status of the property
The land is a freehold industrial land.
3. Built-up area of the Factory and its existing use
The built-up area of the factory is approximately 1,254 square meters. The factory is currently used as a warehouse and office by the vendor.
4. Valuation approach by Messrs Raine & Horne International Zaki + Partners Sdn Bhd (“the Valuer”)
In arriving at the Market Value of the Property, the Valuer have adopted the following:
(i) Comparison Approach
The Comparison Approach seeks to determine the value of the property being valued by comparing and adopting as a yardstick recent transactions and sale evidences involving other similar properties in the vicinity. Where dissimilarities exist, adjustments are made.
(ii) Cost Approach
The Cost Approach seeks to determine the value of the property through the summation of the value components of the land and building(s). In determining the value of the land, the analysed apportionment value attributable to the land is adopted as described in the Comparison Approach whilst making due allowances to factors of location, plot size, accessibility and other relevant factors. In determining the value of the building(s), current estimates on construction costs to erect equivalent buildings are adopted. Appropriate adjustments are then made for factors of obsolescence and existing physical condition of the building(s).
5. The net book value of the Property based on the latest audited accounts
The net book value of the Property based on the latest audited accounts of XMA Realty Sdn. Bhd. is RM7,933,334.
6. Further clarification of the rationale of the Proposed Purchase
The Group is currently renting premise for its operation and does not own any properties.
The purchase shall enable the Group to reduce its future rental costs while expanding its operation space to achieve higher production and sales volume, which could contribute positively to our results.
In addition, the Group will also relocate manufacturing facilities from various rented units into the Property, which enable us to streamline and re-organise our operation and resources to achieve better coordination and achieve a more efficient gold jewellery manufacturing process.
