The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the earlier announcements in relation to the Private Placement. We refer to the earlier announcements dated 28 February 2025, 19 March 2025, 25 March 2025 and 22 September 2025 in relation to the Private Placement. On behalf of the Board, UOBKH wishes to announce that the Company had on 6 March 2026 entered into a share subscription agreement ("SSA") with NST Trading Malaysia Sdn Bhd (Registration No. 199501041681 (370885-X)) ("NSTM") for the subscription of 148,101,300 Placement Shares in accordance with the terms and conditions of the SSA ("Proposed Subscription"). Further details of the Proposed Subscription are set out in the attachment enclosed.
