The Board of Directors of JTGB (“Board”) wishes to announce that the Company had on 5 March 2026, entered into a conditional share subscription agreement (“SSA”) with Roflex Pipe Sdn Bhd (“Roflex”) for the proposed subscription for 520,408 new ordinary shares in Roflex (“Roflex Shares” or “Subscription Shares”), representing approximately 51.00% equity interest of the enlarged number of issued Roflex Shares after completion of the Proposed Subscription, for a cash consideration of RM6,119,998.08 (“Subscription Consideration”) (“Proposed Subscription”).
