Reference is made to the following:

1. The private placement of 61,500,000 new ordinary shares in CFM, representing up to 30% of the total number of issued shares of CFM (“Private Placement”). The Company had raised total proceeds of RM71.7 million (“Private Placement Proceeds”); and
2. The Company’s announcement made on 27 February 2025 in relation to the extension of timeframe for the utilisation of Private Placement Proceeds.

To-date, the Company has yet to fully utilise the Private Placement Proceeds. The Board of Directors of CFM (“Board”) wishes to announce that the Board has resolved to further extend the timeframe for the utilisation of Private Placement Proceeds for another 12 months for the capital expenditure of the Company and its subsidiaries ("Extension of Time").

The Company is currently in the process of identifying a suitable site for the relocation of its operational facilities. Upon finalisation of the new location, the Company will proceed with the acquisition of new machinery and equipment to replace its existing outdated assets, to ensure continuity and efficiency of its operations.

A summary of the revised utilisation of Private Placement Proceeds is set out below:

The Board is of the opinion that the Extension of Time is in the best interest of the Company. The Extension of Time is not subject to any authorities or shareholders' approval.

Nonetheless, the Company shall continue to be vigilant and prudent in managing the Private Placement Proceeds and will continue to disclose the status of the utilisation in the Company's quarterly results and annual report until it is fully utilised.
