Unless otherwise defined, the abbreviated terms used herein shall carry the same meaning as those defined in the circular dated 11 August 2020 and the announcements dated 7 February 2020, 25 June 2020, 12 October 2020, 30 October 2020, and 2 November 2020.

1. INTRODUCTION

Pursuant to the Supplemental Agreement 1 dated 7 February 2020, the Company had agreed to, upon completion of the Proposed Acquisition of SITSB, subscribe for up to RM3,500,000 value of new redeemable convertible preference shares in SITSB (“RCPS”). Eventually, the Company had subscribed for a total of RM1,300,000 value of RCPS in SITSB in 2 tranches.

In accordance with the terms of the RCPS, the tenure of the RCPS shall be for a period of six (6) years commencing from and inclusive of the date of issue of the RCPS, as follows:

2. EXTENSION OF TENURE OF THE RCPS

The term on the tenure of the RCPS is as follows:

“The tenure of the RCPS shall be for a period of 6 years, or such period agreed to be extended by the RCPS holder at its absolute discretion, commencing from and inclusive of the date of issue. The maturity date is the business day immediately before the anniversary of the date of the issue or such date as extended by the RCPS holder in its absolute discretion (“Maturity Date”).”

The Board wishes to announce that in accordance with the terms of the RCPS and after taking into consideration the financial position of SITSB, the Company had on 24 February 2026, vide its letter on even date to SITSB, exercised its absolute discretion to extend the tenure of both tranches of the RCPS, thereby extending and coinciding the Maturity Dates of both tranches of RCPS to 31 March 2032.

Accordingly, the extended Maturity Dates of the RCPS shall be as follows:

Save for the tenure of the RCPS, all other terms of the RCPS and Supplemental Agreement 1 shall remain unchanged.
