We refer to the Company’s announcements dated 11 August 2025, 23 October 2025, 7 November 2025, 4 December 2025 and 8 December 2025 as well as the circular dated 30 October 2025 and the errata to the circular dated 7 November 2025 in relation to the Proposed Acquisition (“Circular”). Unless otherwise stated, the definitions used herein shall have the same meanings as defined in the said announcements and Circular.
On behalf of the Board, AmInvestment Bank is pleased to announce that the FTC Decision and Order became final on 17 February 2026.
Given that the FTC has not notified that i) CTRM is not acceptable as the acquirer of Spirit MY or the business of Spirit MY; or ii) the manner in which the divestiture to CTRM was accomplished is not acceptable, prior to the date the FTC Decision and Order became final, the Proposed Acquisition can no longer be rescinded by either the Sellers or CTRM.
