We refer to the Company’s announcement dated 15 January 2026 in relation to the resignation of Messrs. Baker Tilly Monteiro Heng PLT as the Company’s external auditors and the proposed appointment of Messrs. SBY Partners PLT as the new external auditors of the Company, subject to their written consent to act pursuant to Section 264(5) of the Companies Act, 2016.

The Board of Directors of NEXG wishes to announce that Messrs. SBY Partners PLT has informed the Company that it does not wish to proceed with the proposed appointment. Accordingly, the proposed appointment of Messrs. SBY Partners PLT will not proceed. The decision to not proceed with the appointment is based on the mutual consent of both parties.

The Company has identified Messrs. PKF PLT as the new auditors to be engaged pursuant to Section 271(2)(b) of the Companies Act, 2016, after assessing their independence, capabilities, audit team and proposed audit fees. The Board is of the view that such change of auditors will enable the Company and Group to benefit from fresh perspectives and views of another professional audit firm.

Upon the Audit and Risk Management Committee’s recommendation, the Board has approved the appointment of Messrs. PKF PLT as the auditors for financial year ending 31 March 2026 and to hold office until the conclusion of the Company’s next Annual General Meeting.

Following the above, the Company has received Messrs. PKF PLT’s consent to act as auditors of the Company pursuant to Section 264(5) of the Companies Act, 2016 via Messrs. PKF PLT’s letter dated 13 February 2026.

Save for the above, the Board is not aware of any matters that need to be brought to the attention of the shareholders of the Company.
