Reference is made to the Company’s announcements dated 27 November 2025 and 15 January 2026, in relation to the Proposed Acquisition. Unless otherwise stated, the words and abbreviations used herein shall have the same meaning as the announcements.
On behalf of the Board, TA Securities wishes to announce that Tee Hock Hua, being one of the Dissenting Vendors to the Proposed Acquisition had on 11 February 2026, executed the deed of adherence to the SPA. Pursuant to the terms of the SPA dated 27 November 2025, such Dissenting Vendor who has executed the deed of adherence to the SPA shall be deemed a party to the SPA and shall assume the rights and obligations under the SPA commencing from the date of the deed of adherence.
Accordingly, as at 11 February 2026, the Assenting Vendors and the Adhering Vendor collectively hold an aggregate of 76% undivided shares in the Lands, while the Dissenting Vendors hold the residual 24% undivided shares in the Lands.
The Board will make further announcements as and when there are material developments in relation to the Proposed Acquisition.
