SUBJECT: MEMORANDUM OF UNDERSTANDING BETWEEN BEIJING 51 WORLD DIGITAL TWIN TECHNOLOGY CO., LTD. AND INSIGHTS ANALYTICS BERHAD FOR STRATEGIC COOPERATION ON MARKET DEVELOPMENT OF 51 WORLD'S PRODUCTS

1. Introduction

Insights Analytics Berhad (“IAB” or “the Company”) is pleased to announce that the Company has entered into a strategic collaboration with Hong Kong Stock Exchange (“HKEX”) - listed Beijing 51 WORLD Digital Twin Technology Co., Ltd. (“51WORLD”) on 9 February 2026. 

2. Information of 51WORLD

51WORLD is an AI-driven digital twin and physical AI technology company, a pioneer specialising in real-world simulation and intelligent system modelling.

3. Details of the Collaboration

Pursuant to the collaboration, IAB will adopt 51WORLD’s industrial-grade, AI-driven solutions, which incorporate advanced digital twin technology, for the development and deployment of innovative applications across multiple industries.

3.1 Validity of the Memorandum of Understanding (“MOU”):

This MOU shall remain in full force and effect unless and until it is superseded by a definitive agreement duly executed by both Parties or upon the earlier occurrence of any of the following:

(a) The Parties mutually agree in writing to terminate this MOU. In such event, neither Party shall be entitled to make any further claims against the other.

4. Rationale of the Collaboration

This technology is to strengthen the scalability, depth and competitiveness of IAB’s technology platform. In line with this transition, the Company will replace some of its existing software applications, while continuing to support some of its existing clients with enhanced technological capabilities.

5. Risk Factors

The collaboration is subject to certain risks, including but not limited to:

a) Legal Validity Risks

If any term or provision of the MOU is found to be invalid or illegal, the remaining clauses will not be affected. However, there is a risk that invalid provisions may need to be replaced, potentially altering the original economic and general intentions of the agreement.

b) Superseding Agreement Risks

While the MOU represents the entire understanding between the Parties, any future amendments or new agreements may supersede or modify the terms of the current MOU, which could impact the strategic direction or execution of the collaboration.

c) Amendment Risks

Any amendments or revisions to the MOU must be made by mutual agreement, in writing, and duly signed by both Parties. There is a risk that any delay in finalizing such amendments could impact the ongoing progress of the collaboration.

These factors could potentially affect the successful implementation of the collaboration, and both Parties will work to mitigate any associated risks.

6. Financial Effects

This collaboration is not expected to have any immediate material effect on the earnings, net assets or gearing of the Company for the current financial year.

7. Directors’ Statement

The Board of Directors of IAB believes that this MOU aligns with the Company’s growth strategies and is in the best interest of the Company.

8. Interest of Directors’ and Major Shareholders’ and/or Persons Connected with Them

None of the Directors, major shareholders of IAB, or persons connected to them have any interest, direct or indirect, in the collaborating party.

9. Approvals Required

This collaboration is not subject to the approval from the Company’s shareholders and/or any regulatory authorities.
