Reference is made to the Company’s announcement dated 5 February 2026 in relation to the Offers (“Announcement”). Unless otherwise defined, all abbreviations used herein shall have the same meanings as those stated in the Announcement.

In accordance with Paragraph 3.06 of the Rules on Take-Overs, Mergers and Compulsory Acquisitions (“Rules”), the Board wishes to announce that NewParadigm Securities Sdn. Bhd. has been appointed to act as the Independent Adviser to provide comments, opinions, information and recommendation to the non-interested directors and shareholders of Timberwell.
