On behalf of the Board of Directors of LSH Capital (“Board”), AmInvestment Bank Berhad wishes to announce that on 22 January 2026, LSH Best Builders Sdn Bhd (“LSHBB”), a wholly-owned subsidiary of LSH Capital, together with its wholly-owned subsidiaries, namely LSH Morib GCC and LSH Morib Development (collectively, the “SPVs”), have entered into a conditional share subscription agreement (“Subscription Agreement”) with Besteel Engtech Sdn Bhd (“BESB”).

Under the Subscription Agreement, BESB will subscribe for 45 new ordinary shares in LSH Morib GCC and 429 new ordinary shares in LSH Morib Development for a total cash consideration of RM474 (“Proposed Shares Subscription”). Concurrently, LSHBB, being the existing shareholder of both SPVs, will also subscribe for five (5) new ordinary shares in LSH Morib GCC and one (1) new ordinary share in LSH Morib Development for a total cash consideration of RM6, ensuring that upon completion of the Proposed Shares Subscription, LSHBB will retain a 70.0% equity interest in each SPV, while BESB holding the remaining 30.0%.

In addition, the Company proposes to provide financial assistance to the SPVs to facilitate the Golf Course Rejuvenation Project and the Morib Development Project (each as defined in Section 2 of the attached Announcement) (“Proposed Provision of Financial Assistance”).
