Reference is made to the announcement dated 17 January 2025 and 30 September 2025 on the subject matter (“Announcements”). Unless otherwise stated, all definitions and terms used in this announcement shall have the same meaning as defined in the Announcements.

The Board of Directors of MHB wishes to announce that the Company’s subsidiary, Pembinaan Mitrajaya Sdn Bhd has on 10 December 2025 accepted a variation order on the Contract with NEXTDC Sdn Bhd to include the construction of the Data Centre Main Works in Kuala Lumpur - Stage 1 Phase 3 for a contract sum of RM42,814,232.88 (“4th Variation Order”). The revised contract sum is RM844,656,858.66 after including the 4th Variation Order.  

DETAILS OF THE 4TH VARIATION ORDER

The 4th Variation Order is expected to be completed by 28 July 2026.

FINANCIAL EFFECTS 

The 4th Variation Order is expected to contribute positively to the earnings and net assets of MHB Group for the financial years ending 31 December 2025 and 2026. The 4th Variation Order will not have effect on the share capital and shareholding structure of MHB.

RISK FACTORS 

The risks associated with the 4th Variation Order are normal operational risks, which can be mitigated through MHB Group's system of project management controls.

DIRECTORS' AND MAJOR SHAREHOLDERS' INTERESTS 

None of the Directors and/or major shareholders or persons connected to them have any interest, directly or indirectly interest in the 4th Variation Order.

DIRECTORS' STATEMENT 

The Board of Directors of MHB is of the opinion that the acceptance of the 4th Variation Order is in the best interest of MHB Group.

The approval of NEXTDC Sdn Bhd to release this announcement is required and the Company has on 20 January 2026. obtained their approval to release the same.
