Reference is made to the earlier announcements dated 15 March 2023, 17 March 2023, 24 March 2023, 15 September 2023, and 5 March 2025 in relation to the Acquisition.

The Board of Directors of GFM wishes to announce that GFM had on 14 January 2026 entered into a Third Supplemental Share Sale Agreement (“Third Supplemental SSA”) with the Seller to extend the date by which the Tranche 2 Conditions shall be met to 30 June 2026.

Save for the above, all other terms and conditions in the SSA shall remain unchanged.

The Third Supplemental SSA is available for inspection at GFM’s registered office located at Level 7, Mercu 3, No. 3, Jalan Bangsar, KL Eco City, 59200 Kuala Lumpur, Malaysia during normal business hours from Monday to Friday (except public holiday) for a period of 3 months from the date of this announcement.
