The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the earlier announcements in relation to the Private Placement.

We refer to the earlier announcements dated 5 December 2025, 12 December 2025 and 19 December 2025 in relation to the Private Placement.

On behalf of the Board, UOBKH wishes to announce that Bursa Securities had, vide its letter dated 9 January 2026, resolved to approve the listing and quotation of up to 41,287,738 new ordinary shares in SHC to be issued pursuant to the Private Placement, subject to the following conditions:-

i.        SHC and UOBKH must fully comply with the relevant provisions under the Main Market Listing Requirements of Bursa Securities pertaining to the implementation of the Private Placement;

ii.       UOBKH to inform Bursa Securities upon the completion of the Private Placement; and

iii.      UOBKH to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities' approval once the Private Placement is completed.
