1. Introduction

VETECE Holdings Berhad (“VTC” or the “Company”) wishes to announce that its wholly-owned subsidiary, Vision Technology Consulting Sdn Bhd, had on 31 December 2025 entered into an agreement with a leading Malaysian utility company for the provision of an international based Human Capital Management (“HCM”) Cloud software subscription valued at approximately RM12.6 million (“Contract”). The Contract forms part of the Company’s strategy to strengthen its Customer Relationship Management, Enterprise Resource Planning and HCM application solution capabilities. The Contract is expected to be delivered over the financial years ending 31 August 2026 to 31 August 2029.

2. Financial Effects

The Contract will not have any effect on the share capital or substantial shareholders’ shareholdings of VTC and its subsidiaries (“Group”). However, it is expected to contribute positively to the Group’s earnings and net assets for the financial years ending 31 August 2026 to 31 August 2029.

3. Risk Factors

VTC does not foresee any exceptional risk other than the normal operational risks associated with product supply. VTC will continue to adopt appropriate measures to mitigate such risks as and when it occurs based on its past experience and expertise.

4. Approvals Required

The Contract is not subject to the approval of the Company’s shareholders or any relevant regulatory authorities.

5. Directors’ and Major Shareholders’ Interests

None of the Directors and/or major shareholders of VTC and/or or persons connected with them have any direct or indirect interest in the Contract.

6. Directors’ Statement

The Board of Directors is of the opinion that the Contract is in the ordinary course of business and is in the best interest of the Group.
