On behalf of the Board, TA Securities wishes to announce that the SC had, vide its letter dated 24 December 2025, stated that the Company is deemed to have complied with the Bumiputera Equity Requirement after taking note of the following:

1. On 4 December 2025, Winstar fixed the issue price of the Special Issue Shares at RM0.51 each, representing a premium of approximately RM0.0099 or 1.98% from the 5-day weighted average market price of Winstar Shares from 27 November 2025 to 3 December 2025 of approximately RM0.5001 per Share;
2. On 5 December 2025, MITI provided TA Securities with the list of allocation comprising 91 Bumiputera investors for 27,013,300 Special Issue Shares;
3. A total payment for 22,134,900 Special Issue Shares amounting to RM11,288,799 were received from 44 Bumiputera investors, representing an acceptance of 53.40% of the total 41,450,000 Special Issue Shares offered;
4. MITI had, vide their letter dated 16 December 2025, informed that they had exhausted all avenues in assisting Winstar to fulfill the 12.50% Bumiputera Equity Requirement; and
5. On 17 December 2025, the 22,134,900 Special issue Shares had been allotted to the 44 Bumiputera investors as well as listed and quoted on the ACE Market of Bursa Securities with effect from 9:00 am on Wednesday, 18 December 2025.
