We refer to the Company’s announcement dated 19 December 2025 in respect of the aforesaid matter.

 

In this connection, kindly furnish Bursa Securities with the following additional information for public release:-

 

1) brief details of the disputes arising from contractual and operational arrangements concerning mining activities at Bukit Mantri, Sabah;

 

2) details of the reliefs sought by the Plaintiff, including the amount claimed and the interest rate (if any);

 

3) the expected losses to the Company, if any; and

 

4) details of the injunction filed by the Plaintiff against Wullersdorf Resources Sdn Bhd.

Unless otherwise stated, all abbreviations used herein shall have the same meaning as those mentioned in the announcement dated 19 December 2025 in relation to the Writ of Summon and Statement of Claim received by the Company and its wholly-owned subsidiary, Wullersdorf Resources Sdn. Bhd. ("Defendants") from Southsea Gold Sdn. Bhd. ("Plaintiff" or “SGSB”), High Court of Sabah and Sarawak at Tawau Civil Suit No. TWU-22NCVC-30-10/2025 (HC).

 

The Board of Directors of AuMAS wishes to inform that the Company has received Bursa Malaysia Securities Berhad’s request dated 22 December 2025 for additional information in relation to the Company’s announcement made on 19 December 2025. The additional information are as follows:

 

      1. Brief details of the disputes arising from contractual and operational arrangements concerning mining activities at Bukit Mantri, Sabah.

 

The dispute arises from contractual and operational arrangements relating to mining activities at Bukit Mantri, Tawau, Sabah, involving a sub-lease arrangement entered into between SGSB and a wholly-owned subsidiary of the Company, Wullersdorf Resources Sdn. Bhd. (“WRSB”). The Plaintiff has also raised issues relating to the interpretation and use of certain regulatory approvals, including Environmental Impact Assessment approvals.

 

The Plaintiff has alleged, inter alia, repudiatory breach of contractual arrangements, alleged unlawful mining and related activities, and conspiracy involving several defendants.

 

 

       2. Details of the reliefs sought by the Plaintiff, including the amount claimed and the interest rate (if any).

 

The Plaintiff is seeking, among others, the following reliefs:

 

     a) Declaratory and Injunctive Relief

  • Declarations that certain sub-lease and related agreements have been terminated;
  • Orders for vacant possession of the subject land;
  • Permanent injunctive relief restraining mining and related activities; and
  • Declarations relating to the use of the Plaintiff’s Environmental Impact Assessment (“EIA”) approval.

    b) Monetary Claims

 

        i. Against WRSB:

  • Damages for alleged breach of contract amounting to RM500 million, or to be assessed;
  • Damages for alleged negligence, nuisance and trespass amounting to RM40 million, or to be assessed.

       ii. Against multiple defendants (including the Company), jointly and severally:

  • Damages for alleged conspiracy to injure by unlawful means (amount to be assessed);
  • An account of profits and/or damages for conversion of minerals (amount to be assessed);
  • Aggravated and exemplary damages of RM20 million, or to be assessed.

       iii. Interest at 5% per annum, and

 

       iv. Claimed legal costs of RM3 million.

 

 

      3. The expected losses to the Company.

 

At this juncture, the expected losses, if any, cannot be ascertained, as the matter is at preliminary stage and remains subject to court proceedings. The Company denies liability and will take all necessary steps to protect its interests.

 

 

      4. Details of the injunction filed by the Plaintiff against WRSB.

 

The Plaintiff has also filed a Notice of Application (ex parte) seeking interlocutory and/or interim injunctive relief, primarily against WRSB, to restrain, among others:

  • Entry onto or occupation of the subject land;
  • Mining, processing, storage, blasting or trading activities;
  • Discharge of tailings, effluent or pollutants; and
  • Use or reliance on the Plaintiff’s EIA approval,

pending the full and final disposal of the suit.

 

As at the date of this announcement, no interim or injunctive order has been granted, and the application remains pending before the Court.
