Reference is made to Section 5.20(iii) of Radium’s prospectus dated 27 April 2023 together with the previous announcements made on 20 September 2023, 19 September 2024 and 22 September 2025 respectively.

The Board of Directors wishes to announce that, pursuant to Clause 2.1 of the Joint Venture Agreement and the previous extensions granted pursuant to Clause 2.4 and Clause 2.5 (as inserted vide Clause 3.1 of the Supplemental Agreement), whereby the fulfilment of the Condition Precedent is currently set to expire on 19 December 2025, both Kadar Jutajaya Sdn. Bhd. (“Landowner”) and Rasa Wangi Development Sdn. Bhd. (collectively “Parties”) have mutually agreed to extend the period for the fulfilment of Condition Precedent for a further six (6) months, commencing from 20 December 2025 to 19 June 2026. The Parties have further agreed that the extension shall be subject to interest at the rate of ten percent (10%) per annum, calculated on a daily basis on the unpaid portion of the Landowner’s Entitlement, and such interest shall cease to accrue upon the Condition Precedent being fulfilled and supported by the relevant documentation.

The Board is of the view that the interest expense arising from the above extension will not have any material impact on the financial results of Radium for the financial years ending 31 December 2025 and 31 December 2026 respectively.
