Reference is made to the Company’s announcements dated 27 May 2024, 12 September 2024, 7 October 2024, 11 November 2024, 12 November 2024, 27 November 2024, 16 December 2024 and 23 December 2024 in relation to the Proposals.

On behalf of the Board, Maybank IB wishes to announce that via a supplemental letter to the CSPSA and SHA dated 12 December 2025, the Company, Astrantia, Adilmart, CCK Fresh Mart and the Promoters have agreed to vary Adilmart’s shareholding composition pursuant to the Proposed Share Subscription. For the avoidance of the doubt, the resultant shareholding of the Adilmart Existing Shareholders and Astrantia in Adilmart upon completion of the Proposals remains unchanged at 60.0% and 40.0% respectively. Please refer to the attachment for further details on the variation.

Following this, the Second Closing has taken place on 12 December 2025 with the subscription price for the Second Subscription Shares of IDR53.8 billion (equivalent to RM15.0 million) paid by Astrantia to Adilmart on the even date.

With the completion of the Second Share Subscription Transaction, the Proposals were also completed on 12 December 2025 in accordance with the CSPSA.
