The Board of Directors of KGW (“Board”) wishes to announce that its 51%-owned subsidiary, KGW Global Solutions Sdn Bhd (“KGW Global” or the “Purchaser”), had on 10 December 2025 entered into a sale and purchase agreement with Ability Global Sdn Bhd (“Ability Global” or “the Owner”) for the proposed acquisition of forty-two (42) units of used plants and machineries at a total cash consideration of RM1,651,500.00 (“Purchase Consideration”) ("Agreement"), with details provided herein, subject to the terms and conditions of the Agreement ("Proposed Acquisition").

Further details on the Proposed Acquisition are set out in the attachment enclosed.
