ADJUSTMENTS TO THE TERMS AND CONDITIONS OF THE NON-COLLATERALISED CASH-SETTLED CALL WARRANTS OVER ORDINARY SHARES OF MBM RESOURCES BERHAD ("MBMR") ("MBMR-C9")

We refer to the announcement made by MBMR dated 26 November 2025 and our announcement dated 27 November 2025 in relation to the Special Dividend of 10.0 sen per ordinary share tax exempted under the single-tier system in respect of the financial year ending 31 December 2025 ("Special Dividend").


In accordance with the Second Schedule of the Deed Poll dated 20 May 2025, the terms and conditions of MBMR-C9 shall not be adjusted as the adjustment amount is less than 2% of the Exercise Ratio and/or Exercise Price being changed.
