The Board of Directors of SMRT ("Board") wishes to announce that SMRT ("Purchaser") had on 8 December 2025, entered into a conditional sale and purchase agreement ("SPA") with Asia Fintech Ventures Group Pte Ltd ("AFVG" or the "Vendor") for the proposed acquisition of 1,690,668 ordinary shares in Novus Technologies Pte Ltd ("NTPL") ("NTPL Share(s)"), representing 37.50% equity interest in NTPL, for a purchase consideration of SGD7,087,500 (equivalent to approximately RM22,482,259) to be satisfied entirely via cash, on the terms and conditions set out in the SPA ("Purchase Consideration") ("Proposed Acquisition").
