(Unless otherwise stated, all abbreviations and definitions used herein shall have the same meaning as those used in the announcements dated 5 November 2024, 19 June 2025, 15 August 2025, 25 September 2025, 10 October 2025, 18 November 2025, 19 November 2025 and 4 December 2025 in relation to the Acquisitions (“Announcements”)) We refer to the Announcements. On behalf of the Board, Maybank Investment Bank Berhad wishes to announce that the Company has on 8 December 2025, agreed to waive the satisfaction of the condition precedent with respect to the receipt by the Company of the written confirmation from the chargees of the PBSB Charges confirming that there is no amount outstanding owing to the chargees of the PBSB Charges. Accordingly, the SESB SSA has become unconditional on 8 December 2025. In addition, the SDASB SSA became unconditional on 4 December 2025, following the approval obtained from the shareholders of the Company for the Acquisitions at the extraordinary general meeting convened on the same date. Based on the SDASB SSA, the completion of the sale and purchase of the SDASB Sale Shares shall take place on the date falling within 45 days from 4 December 2025 as may be notified by the Company to the SDASB Vendor and based on the SESB SSA, the completion of the sale and purchase of the SESB Sale Shares shall take place on the date falling within 45 days from 8 December 2025 as may be notified by the Company to the SESB Vendors. The SESB SSA is inter-conditional with the SDASB SSA and the completion of the SESB SSA and SDASB SSA shall take place simultaneously.
