ADJUSTMENTS TO THE TERMS AND CONDITIONS OF EUROPEAN STYLE NON-COLLATERALISED CASH SETTLED CALL WARRANTS EXPIRING ON 29 JUNE 2026 OVER ORDINARY SHARES ("SHARES") OF CIMB GROUP HOLDINGS BERHAD ("CIMB") ("CIMB-C2H") PURSUANT TO A SINGLE-TIER SPECIAL DIVIDEND OF 7 SEN PER ORDINARY SHARE ("SPECIAL DIVIDEND").

Kindly be advised of the following :

1) The above Company's securities will be traded and quoted "Ex - Adjustment” as from: 12 Dec 2025

2) The last date of lodgment : 15 Dec 2025

Remarks :

Effective 12 December 2025, the Exercise Price and Exercise Ratio will be adjusted based on the following formulae (and rounded to the nearest 4 dp):

(i) Adjusted Exercise Price =  X  x  (P-D) / P

(ii) Adjusted Exercise Ratio =  E  x  (P-D) / P

P = Closing price of the Share on the last Market Day on which the Shares are traded on a cum-entitlement basis

D = RM0.070, being the Special Dividend per one (1) Share held

X = RM7.98, being the existing Exercise Price immediately prior to the Special Dividend

E = 4, being the existing Exercise Ratio immediately prior to the Special Dividend

No adjustments shall be made if the formulae stated above results in an adjustment which would amount to less than 2% of the Exercise Ratio and/or Exercise Price being changed.
