Reference is made to Sapura Industrial Berhad (“SIB” or “the Company”)’s announcements dated 6 March 2025, 20 May 2025, 12 June 2025 and 14 October 2025.

1.           Further to Paragraph 4.3 of the announcement dated 14 October 2025, the Board of Directors of SIB wishes to announce that the shareholders of SIB ZZT Sdn Bhd (Company Registration No. 202501048370 (1649778-X)) (“SIB ZZT”), a joint venture company between SIB Ventures Sdn Bhd (Company Registration No. 202401044576 (1590422-M)) (“SIBV”) and Funa Micro Technology Pte. Ltd. (Company Registration No. 202533397E) (“FMT”), have agreed to reduce the additional shares to be issued by SIB ZZT from 17,999,900 shares to 17,399,900 shares (“Revised Additional Shares”) to each SIBV and FMT in accordance with the agreed shareholding proportion.

2.           The Revised Additional Shares have been allotted to each SIBV and FMT on 26 November 2025, based on the agreed shareholding proportions as set out in paragraph 4.4 of the announcement dated 14 October 2025. Accordingly, as of 26 November 2025, the structure of the share capital in SIB ZZT is as follows:

3.           The change in the share capital is not expected to have any material effect on the earnings, net assets or gearing of SIB for the financial year ending 31 January 2026.

4.           Save for the change in the total share capital, all other terms and conditions of the Joint Venture Agreement dated 14 October 2025 remain unchanged and in full force.
