Reference is made to the prospectus of Foodie Media dated 13 November 2025 (“Prospectus”). Unless otherwise stated, all defined terms used in this announcement shall have the same meanings as those defined in the Prospectus.

(i) distribution of the Institutional Offering; and
(ii) disclosure of placees who become substantial shareholders of Foodie Media arising from the IPO, if any.
