Further to the Company's announcements made on 17 October 2024, 26 November 2024, 28 February 2025, 29 May 2025 and 29 August 2025 pertaining to the MOU entered into between LKL and Karl Group for the purpose of exploring opportunities for trading pharmaceutical products in the Philippines and to leverage LKL's expertise in healthcare product distribution and Karl Group’s local market knowledge to enhance the availability and distribution of pharmaceutical products in the Philippines.

The Board of Directors of LKL ("Board") wishes to announce that, following the expiry of the MOU on 16 October 2025 and with no agreement to extend and proceed further, the MOU has lapsed and is deemed terminated with immediate effect (“Termination”).

The Termination is not expected to have any financial impact to the Company and its subsidiaries.

The Board, having taken into consideration all aspects of the Termination, is of the opinion that the Termination is made in the best interests of the Company.
