The Board of Directors of LYC Healthcare Berhad (“the Company”) wishes to announce that the Company and its subsidiaries namely, LYC Beauty & Wellness Sdn. Bhd. (“LYCBW”) and LYC Dental & Aesthetic Holdings Sdn. Bhd. (collectively referred to as “the Respondents”), had been served on 17 November 2025 with an Originating Summons dated 7 November 2025 filed at the High Court of Malaya at Kuala Lumpur by Dr Dinesh A/L Kanasen (“the Applicant”), who seeks for the following:

1. A declaration that the affairs of LYCBW are being conducted or the powers of the director is being exercised in a manner oppressive and/or in disregard of the Applicant’s interests as a member and/or shareholder of LYCBW.
2. A declaration that the various acts of the Company, LYC Dental & Aesthetic Holdings Sdn. Bhd., Sui Diong Hoe and Soh Hoo Hong have been done or are threatened to be done which have and/or will unfairly discriminate against and/or which are and/or will be otherwise prejudicial to the Applicant.
3. A declaration that the Service Agreement dated 4 October 2022 between Tao Global Ventures and Dr Sarahanna to be null and void ab initio.
4. An order that LYCBW be wound up by the court under the provisions of the Companies Act 2016 and that Ng Choon Jin of Messrs S.L. Ng Corporate Solutions PLT be appointed as its liquidator.
5. An order for damages to be assessed and/or equitable compensation to be paid by the Respondents to the Applicant, whether jointly or severally, to the Applicant.
6. An order that the Respondents, whether jointly or severally, do pay the costs on an indemnity basis of this action incurred by the Applicant.
7. Parties are at liberty to apply.
8. Further or alternatively, such directions or order be given as deemed fit and proper by the Court. 

The Respondents had appointed solicitors to defend its interest and that the Company does not expect any material operational impact arising from the Originating Summons and does not expect any losses to arise by reason of the commencement of the proceeding other than legal cost and time in defending the claim. The total cost of investment by the Company in LYCBW amounts to RM4,814,606.00

Notwithstanding the above, in the event that LYCBW is wound up by the Court, it may impact the net assets per share, gearing and earnings per share of the Company.
