The Company refers to its announcement dated 18 June 2025, 20 June 2025 and 7 November 2025 respectively.

The Company wishes to announce that the Company had on 18 November 2025 received a Notice of Application for Erinford Injunction filed by Teh Chee Hoe (“Plaintiff”) seeking amongst others the following order: -

 (i)   pending the full and final determination of the Plaintiff’s appeal against the decision of the Honourable Madam Judicial Commissioner Shoba Rajah a/p Dorai Rajah given on 6 November 2025 where her Ladyship allowed the Company’s application to strike out by way of Notice of Application dated 19 June 2025 (“Plaintiff’s Appeal”), the Company, whether by itself, its agents, its servants or otherwise be restrained and injunction be granted to restrain them from reconvening and closing the Company’s 53rd Annual General Meeting (“53rd AGM”);

(ii)   pending the full and final determination of the Plaintiff’s Appeal, the Company, whether by itself, its agents, its servants or otherwise be restrained and injunction be granted to restrain them from convening, conducting or taking steps to convene and conduct the Company’s adjourned 53rd AGM scheduled to be held on 8 December 2025 which was called by way of the Company’s Notice of Adjourned 53rd AGM dated 14 November 2025;

(iii)   alternatively, pending the full and final determination of the Plaintiff’s Appeal, that the Chairman of the Company’s adjourned 53rd AGM (whosoever he shall be) be empowered to and shall, notwithstanding anything contained in the Company’s constitution, and notwithstanding that the meeting shall not have consented to or directed such adjournment, declare the adjourned 53rd AGM to be adjourned with immediate effect to such time and place and such date as shall be determined by the Honourable Court;

(iv)   that in the event that the adjourned adjourned 53rd AGM shall be held at a date after a period of greater than 30 days from the date of the adjourned 53rd AGM, an order that notice of the adjourned adjourned 53rd AGM shall be deemed to have been duly given if advertised once in English and Chinese newspapers not less than fourteen (14) days before the adjourned adjourned 53rd AGM and that other than notice in the manner aforesaid, no other notice need be given;

(v)   that an ad interim injunction in terms of prayers (i), (ii), (iii) and (iv) is granted pending the full and final disposal of this application.

The hearing has been fixed on 25 November 2025.
