(Reference is made to the announcement dated 26 May 2025 and 26 August 2025 in relation to the proposed investment by Kerjaya Prospek Ventures Sdn. Bhd., a wholly-owned sub-subsidiary of KPGB, in 49% equity interest of Aspen Vision Land Sdn. Bhd. (“AVL”), a wholly-owned sub-subsidiary of Aspen (Group) Holdings Limited via a Subscription of new shares in AVL (“Announcements”). Unless otherwise defined in this announcement, all terms used herein shall have the same meaning as those defined in the Announcements.)

Further to the Announcements, the Board of Directors wishes to announce that additional time is required to obtain the consent of the financiers of AVL and AVC, which constitutes a condition precedent as set out in paragraph 2.4.3(iii) of the announcement dated 26 May 2025. Accordingly, the Parties have on 17 November 2025, entered into a further supplemental agreement to the Subscription and Shareholders' Agreement ("Second Supplemental Agreement").

Pursuant to the Second Supplemental Agreement:-

(a) the Parties have agreed to further extend the cut-off date for the fulfilment of the Conditions Precedent to 31 December 2025; and

(b) the Parties have also agreed in the Supplemental Agreement that, save as aforesaid, all other terms of the Subscription and Shareholders' Agreement shall remain unchanged and in full force and effect. 

The Company will make further announcement(s) to keep shareholders and potential investors informed, as and when there are further updates pertaining to the above matter, or, if there are any material developments.
