We refer to our announcements dated 18 June 2025, 20 June 2025, 25 June 2025 and 7 November 2025 respectively.

Pursuant to the application brought by Mr. Teh Chee Hoe, the Court had ordered that pending full and final disposal of Teh Chee Hoe’s Originating Summons No. WA-24NCC-327-06/2025 (“OS 327”),  the Chairman of the Company’s 53rd Annual General Meeting (“53rd AGM”) (whosoever shall be) be empowered to and shall, notwithstanding anything contained in the Company’s constitution and notwithstanding that the meeting shall not have consented to or directed such adjournment, declare the 53rd AGM to be adjourned to such time and place and such date shall be determined by the Court after tabling and voting of ordinary business under items 1 to 4 and special business under item 5 in the agenda of the Notice of 53rd AGM dated 3rd June 2025 (“Court Order”).

Per the announcement of the Company dated 25 June 2025, all the resolutions set out in the Notice of 53rd AGM dated 3 June 2025 were rejected and voted down by the proxies representing Target 1 Sdn Bhd, Honsin Apparel Sdn Bhd and HIQ Media (Malaysia) Sdn Bhd being  present at the 53rd AGM, holding an absolute majority with a combine shareholding of approximately 50.05%. Hence the result of the voting was effectively determined. As such, a formal polling process would not serve any practical purpose. There being no further business, and pursuant to the Court order dated 20 June 2025 in an application brought by Mr. Teh Chee Hoe via OS 327, the Company had adjourned the 53rd AGM to a future date. 

The OS 327 was heard on 2 September 2025 and decided on 6 November 2025, whereby the Court had allowed the Company’s striking out application and struck out OS 327 with costs of RM10,000.00 to be paid by the plaintiff Mr. Teh Chee Hoe to the Company. The Company’s solicitors had received from Teh Chee Hoe’s solicitors an unsealed notice of appeal on 6 November 2025 appealing against the Court’s decision.

Pursuant to the Court Order, the Company shall reconvene and close the 53rd AGM.
