We refer to our announcements dated 18 June 2025 and 20 June 2025 respectively.

On 17 June 2025, the Company was served by Teh Chee Hoe a sealed OS 327 vide Kuala Lumpur High Court against the Company seeking amongst others that the Company has to circulate the Notice of Intention dated 11 June 2025 issued by Teh Chee Hoe and shall present the nomination of Teh Chee Hoe, Ng Fun Kim, Ling Chi Hoong and/or Amy Tan Li Peng for election to the position of director for consideration and voting at the 53rd Annual General Meeting (“53rd AGM”) or at any adjournment thereof. The Company had then on 19 June 2025 filed for the striking out of OS 327.

The 53rd AGM which was held on 25 June 2025 was adjourned pending full and final disposal of OS 327 arising from the Court injunctive interim order dated 20 June 2025.

The Company wishes to announce that by way of hearing which was held on 2 September 2025 where decision was reserved and delivered on 6 November 2025, the Court has allowed the Company’s striking out application and struck out OS 327 with costs of RM10,000.00 to be paid by Teh Chee Hoe to the Company. The Company’s solicitors had received from Teh Chee Hoe’s solicitors an unsealed notice of appeal on 6 November 2025 appealing against the Court’s decision.

The Board of Directors of the Company is seeking legal advice pertaining to the adjourned 53rd AGM and shall notify the shareholders on the date of the adjourned 53rd AGM in due course.
