We refer to the announcement dated 20 June 2024, 23 September 2024, 20 December 2024, 21 March 2025, 24 June 2025 and 19 September 2025 on the Memorandum Of Understanding ("MOU") between PGB and UOB Malaysia (collectively referred to as "Parties"). 

The Board of Directors of Paragon Globe Berhad ("Board") wishes to announce that the Company has entered into a five-years Memorandum of Collaboration ("MOC") with UOB Malaysia. This MOC builds upon the MOU previously entered into between the Parties on 20th June 2024, which outlined the Parties’ mutual intention to explore collaboration in the areas of sustainability and green project development.

The Parties hereby acknowledged and agreed that this MOC serves to formalise, expand and supersede the aforementioned MOU. Accordingly, the MOU shall be deemed concluded upon the execution of this MOC and the terms and conditions of the MOC shall govern the Parties’ strategic collaboration moving forward.

The MOC will not have any effect on the share capital and substantial shareholders’ shareholdings of PGB. It is also not expected to have any material immediate effect on the earnings per share, net assets per share and gearing of the Group for the financial year ending 31 March 2026.

None of the directors and/or major shareholders of the Company and/or persons connected with them have any interest, whether direct or indirect, in the MOC.

The MOC being entered into the ordinary course of business of the Group, is not subject to the approval of the shareholders.

The Board, having taken into consideration all aspects of the MOC, is of the opinion that the MOC is in the best interest of the Group.
