The Board of Directors of Pharmaniaga Berhad ("the Company") wishes to announce that its dormant subsidiaries namely Bio-Collagen Technologies Sdn Bhd ("BCT") and Paradigm Industry Sdn Bhd ("Paradigm") have been placed under Members' Voluntary Winding Up under Section 439(1)(b) of the Companies Act, 2016. Ms. Peng Ai Lin of No. 33, 2nd Floor, Jalan 3/108C, Taman Sungai Besi, 57100 Kuala Lumpur, Malaysia had been appointed as the Liquidator of BCT and Paradigm on 6 October 2025.

BCT was incorporated on 7 December 2004 and its principal activities were research and manufacture of Halal Collagen Medical. The authorised share capital of BCT is RM2,000,000.00 comprising 2,000,000 ordinary shares of RM1.00 each of which 2,000,000 ordinary shares have been issued and fully paid up. It is wholly-owned by the Company. BCT ceased operations in 2022 and has remained inactive since then.

Paradigm was incorporated on 25 July 2016 and its principal activities were manufacturing and selling of Food Supplement. The authorised share capital of Paradigm is RM100,000.00 comprising 100,000 ordinary shares of RM1.00 each of which 100,000 ordinary shares have been issued and fully paid up. It is wholly-owned by Pristine Pharma Sdn Bhd, which in turn is a wholly-owned subsidiary of Pharmaniaga Berhad. Paradigm ceased operations in 2023 and has remained inactive since then.

The winding up of BCT and Paradigm are part of the Company’s rationalization and streamlining exercise to improve our productivity and efficiency in delivering our services. The exercise has no material effect on the Company for the financial year ending 31 December 2025.

The Board of Directors of Pharmaniaga Berhad is of the opinion that the winding up of BCT and Paradigm are in the best interests of the Company.
