(Unless otherwise stated, all abbreviations used in this Announcement shall have the same meanings as those defined in the Company’s announcements in relation to the Proposed Joint Venture dated 19 August 2025 and 26 September 2025.)

We refer to the Company’s announcements dated 19 August 2025 and 26 September 2025 in relation to the Proposed Joint Venture.

The Board of Directors of AEON Credit wishes to announce that AEON Credit had, on 3 November 2025, subscribed for an additional 25,499,949 ordinary shares in AEON360 for a total cash consideration of RM25,499,949.00. The subscription was made in proportion to AEON Credit’s 51% equity interest in AEON360.

For information purposes, pursuant to the terms of the Shareholders’ Agreement, AEON Credit and AEON CO. shall hold 51% and 49% respectively of the equity share capital of AEON360. Accordingly, AEON CO. had, on 3 November 2025, subscribed for an additional 24,499,951 ordinary shares in AEON360 for a total cash consideration of RM24,499,951.00, in proportion to its 49% equity interest.

Following the completion of the above subscriptions, the total issued and paid-up share capital of AEON360 is RM50,000,000.00 comprising of 50,000,000 ordinary shares. The Proposed Joint Venture has been completed, and AEON360 remains a 51%-owned subsidiary of AEON Credit.
