We refer to the announcements dated 10 October 2025 and 13 October 2025 in relation to the Proposals (“Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein.

On behalf of the Board of Directors of UCrest, TA Securities wishes announce that Bursa Securities has, vide its letter dated 24 October 2025, approved the listing and quotation of:

(i) up to 74,383,000 new UCrest Shares to be issued pursuant to the Proposed Private Placement; and

(ii) such number of new UCrest Shares, representing up to 30% of the total number of issued shares (excluding treasury shares, if any) of the Company that may be allotted and issued at any point in time pursuant to the exercise of the ESOS Options during the duration of the Proposed ESOS.

The approval granted by Bursa Securities for the listing and quotation of the Placement Shares is subject to the following conditions:

(i) TA Securities is required to furnish Bursa Securities with details of the placees as per Rule 6.16 of the ACE Market Listing Requirements (“ACE LR”) for Bursa Securities’ review, prior to the issuance/ allotment of the Placement Shares;

(ii) TA Securities is required to furnish Bursa Securities with details of the placees in accordance with Rule 6.16 of the ACE LR as soon as practicable after each tranche of placement and before the listing of the new shares to be issued pursuant to the Proposed Private Placement;

(iii) In the event the Proposed Private Placement is not completed before the next annual general meeting, UCrest is required to furnish Bursa Securities with a certified true copy of the resolution passed by the shareholders at the forthcoming annual general meeting for the authority to issue shares pursuant to the Companies Act 2016 before the listing of the Placement Shares;

(iv) UCrest and TA Securities are required to inform Bursa Securities upon completion of the Proposed Private Placement; and

(v) UCrest is required to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities' approval once the Proposed Private Placement is completed.

The approval granted by Bursa Securities for the Proposed ESOS, is subject to the following conditions:

(i) UCrest is required to submit a confirmation to Bursa Securities of full compliance of the Proposed ESOS pursuant to Rule 6.44(1) of the ACE LR and stating the effective date of implementation;

(ii) TA Securities is required to furnish Bursa Securities with certified true copy of the resolution passed by the shareholders in the general meeting approving the Proposed ESOS; and

(iii) UCrest is required to furnish Bursa Securities on a quarterly basis a summary of the total number of new shares listed pursuant to the Proposed ESOS, as at the end of each quarter together with a detailed computation of the listing fees payable.
