We refer to the previous announcements and the offer document dated 2 October 2025 (“Offer Document”) in relation to the Offer. Unless otherwise defined, the terms used in this announcement shall have the same meanings as those defined in the Offer Document.

The Board wishes to announce that the Company has received a notification letter dated 21 October 2025 from the Offeror, informing that the Offeror had received valid acceptances which results in KPSB holding 321,353,230 JKB Shares, representing 71.48% equity interest in JKB and the Offeror, the Ultimate Offeror and the PACs collectively holding 344,290,730 JKB Shares, representing 76.59% equity interest in JKB as at 5.00 p.m. (Malaysian Time) on Friday, 17 October 2025 (“Letter”).

Pursuant to Paragraph 8.02(1) of the Listing Requirements, a listed issuer must ensure that at least 25% of its total listed shares (excluding treasury shares) or listed units are in the hands of public security holders (“Public Spread Requirement”).

Accordingly, based on the Letter, the Company does not comply with the Public Spread Requirement.

Notwithstanding, as disclosed in Section 4.1 of the Offer Document, the Offeror and the Ultimate Offeror intend to maintain the listing status of JKB on the Main Market of Bursa Securities. Accordingly, the Offeror and the Ultimate Offeror will work together with the Company to explore options or proposals within the timeframe as allowed by the relevant authorities to rectify the Company’s non-compliance with the Public Spread Requirement.

The Company will apply to Bursa Securities for an extension of time to address the shortfall in the Public Spread Requirement, and make the necessary announcements in relation to the status of its effort to comply with the Public Spread Requirement.
