Unless otherwise defined, the defined terms used in this announcement shall carry the same meaning as those defined in our announcements dated 18 August 2025, 16 May 2025 and 18 February 2025 (“Announcements").

Reference is made to the MOA dated 18 February 2025 in relation to the Collaboration between SASBADI and AGMO.

The Board of Directors of SHB wishes to announce that SASBADI, has on 18 October 2025 entered into a Joint Venture cum Shareholders’ Agreement (“JVA”) with Agmo Capital Sdn Bhd [Registration No. 201701000547 (1214697-U)] (“AGMOCAP”), a wholly-owned subsidiary of AHB, in place of AGMO, to formalise the Collaboration and replace the earlier MOA entered into between SASBADI and AGMO on 18 February 2025.

This JVA formalises the terms of the Collaboration with refinements to reflect the agreed joint venture structure and the participation of AGMOCAP as the designated party for the joint venture.
